SEO Service Agreement Generator
SEO Service Agreement Generator is a free tool that writes a plain-English SEO contract with fees, scope, a no-guarantee clause and signature blocks, in PDF.
- Free
- No sign-up
- Runs in your browser
A written agreement protects you and your client: it says what you will do, what it costs, when it is paid, and what happens if either side wants to stop. Fill in the parties, the start date and minimum term, your monthly and setup fees, payment terms and late fee, tick the work included and what the client must do, and choose who owns the content. The agreement is written in plain English, with numbered clauses โ including the no-guarantee-of-rankings clause every SEO contract needs โ and signature blocks for both sides. Download it as a PDF or copy it as text. It is a template to start from, not legal advice: have a lawyer read it before anyone signs.
Your workspace
This is a plain-English template to start from, not legal advice. Have a lawyer read it before you and your client sign it. In many states an agreement also needs stamp duty paid to be used as evidence in court.

Guide
How to use it
- 1Fill in your business and your client's, with the person signing for each.
- 2Set the start date, minimum term, fees, GST and how quickly invoices are paid.
- 3Tick the work you will do and what the client needs to do for you.
- 4Choose reporting, notice period, who owns the content, and the state whose courts decide disputes.
- 5Read the agreement, download the PDF or copy the text, and have a lawyer check it before signing.
What the results mean
- Minimum term
- The shortest time the client commits to. SEO takes months to show results, so a minimum term stops a client leaving after the first few weeks of setup work.
- Notice period
- How much warning either side must give before ending the agreement, so neither is left without income or support overnight.
- No guarantee of rankings
- A clause saying you cannot promise a position on Google, because only Google decides. It protects you from a client who expects a result nobody can promise.
- Limit of liability
- The most either side can claim from the other if something goes wrong โ here, the fees paid in the last three months.
- Jurisdiction
- Which city's and state's courts would hear a dispute, if talking it through does not settle it.
Common questions
Is this agreement legally valid in India?
A written agreement signed by both parties is generally binding, but every business is different. Use this as a starting point and have a lawyer read it. Depending on your state, stamp duty may also need to be paid on it.
Why include a no-guarantee clause?
Because nobody controls Google's results. Promising a ranking is the most common reason SEO clients feel cheated. The clause sets honest expectations from the first day.
Can we sign it digitally?
Many businesses sign a PDF by hand and exchange scans, or use an e-sign service. Ask your lawyer which is right for you.
Is my information stored?
No. The agreement is put together in your browser and saved only on this device. Nothing is sent to Upgrowly.
